SOLIDAP TERMS OF SERVICE

Welcome to Solidap. These Terms of Service (“Terms”) govern your access to and use of the Solidap platform, website, and services.
By accessing or using Solidap, you agree to these Terms. If you do not agree, you may not use the service.
1. SERVICE DESCRIPTION
Solidap is a software platform that helps appointment-based businesses notify customers about earlier appointment openings.
The system operates by:
• Monitoring connected calendars for cancellations or reschedules
• Detecting newly available appointment openings
• Matching openings with customers who requested earlier availability
• Sending SMS alerts to customers who voluntarily join a waitlist
• Notifying business staff when a customer accepts an earlier opening
Solidap operates strictly as a notification and automation tool.
Solidap does not:
• Create appointments
• Modify appointments
• Cancel appointments
• Reschedule appointments
• Manage internal scheduling systems
• Access medical records
• Store Protected Health Information (PHI)
All appointment changes must be performed by the client’s staff inside the client’s own scheduling system.
2. ELIGIBILITY
You must be at least 18 years old and legally able to enter into binding agreements to use Solidap.
Businesses using Solidap must operate legally within their jurisdiction and comply with all applicable communication laws.
3. CLIENT RESPONSIBILITIES
By using Solidap, clients agree that:
• They will connect a compatible calendar system (Google Calendar or Microsoft Outlook).
• Their staff will manage appointment scheduling within their internal systems.
• Customers receiving messages have voluntarily opted in to receive notifications.
• They will comply with all applicable telecommunications and marketing laws.
Clients are responsible for compliance with:
• TCPA (Telephone Consumer Protection Act)
• CTIA Messaging Guidelines
• Carrier messaging policies
• CAN-SPAM and related messaging regulations
• Local and international messaging laws
Clients are solely responsible for the content of all communications sent through their account.
4. CUSTOMER OPT-IN REQUIREMENTS
Customers must voluntarily opt in before receiving SMS notifications.
Customers may join the early appointment waitlist by:
• Texting the keyword EARLY to the business phone number
• Scanning a QR code that opens an SMS message containing the keyword EARLY
• Clicking a link that opens a pre-filled SMS message
By sending the keyword EARLY, the customer consents to receive notifications when earlier appointment openings become available.
Customers may optionally provide their current appointment date and time to allow the system to determine whether an earlier opening exists.
5. SMS PROGRAM DISCLOSURE
Solidap enables businesses to send operational SMS notifications related to appointment availability.
Message types may include:
• Earlier appointment alerts
• Customer confirmation responses
• Operational waitlist messages
Message frequency varies depending on appointment cancellations and scheduling activity.
Message and data rates may apply depending on the recipient’s mobile carrier plan.
6. SMS OPT-OUT AND HELP
Customers may opt out of SMS notifications at any time by replying:
STOP
After sending STOP, the customer will receive a confirmation message and will no longer receive SMS notifications.
Customers may request assistance by replying:
HELP
Support instructions will be returned via SMS.
7. SMS DELIVERY DISCLAIMER
SMS delivery depends on mobile carrier networks and third-party messaging providers.
Solidap cannot guarantee:
• Message delivery
• Message timing
• Carrier acceptance of messages
• Prevention of carrier filtering
Mobile carriers are not liable for delayed or undelivered messages.
8. ACCEPTABLE USE POLICY
Clients may not use Solidap to send messages that contain:
• Spam or unsolicited marketing
• Fraudulent or deceptive content
• Phishing attempts
• Harassment or abusive messages
• Illegal services or products
• Content that violates telecommunications laws
Solidap reserves the right to suspend accounts that violate these policies.
9. BILLING AND PAYMENTS
Solidap operates on a subscription model.
Clients are billed through Stripe for:
• Monthly subscription fees
• SMS messaging usage charges
Messaging costs are based on inbound and outbound SMS volume.
Failure to pay outstanding balances may result in suspension or termination of service.
10. NO GUARANTEE OF RESULTS
Solidap does not guarantee:
• Increased revenue
• Filled appointment slots
• Customer response rates
• Business performance improvements
Results depend on customer participation, waitlist size, and business operations.
11. LIMITATION OF LIABILITY
Solidap is a notification tool only.
Solidap shall not be liable for:
• Double bookings
• Calendar configuration errors
• Staff scheduling errors
• Customer scheduling conflicts
• Carrier message filtering
• Delayed or undelivered messages
• Business revenue losses
To the maximum extent permitted by law, Solidap’s total liability is limited to the amount paid in subscription fees during the 30 days preceding the claim.
12. DISCLAIMER OF WARRANTIES
The Solidap service is provided “as is” and “as available.”
Solidap makes no warranties regarding:
• Continuous operation of the platform
• Error-free functionality
• Carrier message delivery
• Compatibility with all scheduling systems
13. INDEMNIFICATION
Clients agree to indemnify and hold Solidap harmless from any claims, damages, liabilities, or expenses resulting from:
• Client messaging practices
• Violations of communication laws
• Improper consent collection
• Misuse of the platform
14. FORCE MAJEURE
Solidap shall not be liable for delays or failures caused by circumstances beyond its control, including:
• Telecommunications outages
• Internet disruptions
• Natural disasters
• Government actions
• Third-party service failures
15. SERVICE SUSPENSION
Solidap may suspend or terminate service if:
• Messaging policies are violated
• Spam complaints occur
• Illegal messaging activity occurs
• Payment obligations are not met
• Messaging practices violate carrier or Twilio policies
16. TERMINATION
Clients may cancel their subscription at any time through the Stripe billing portal.
Service will remain active until the end of the billing period.
17. GOVERNING LAW
These Terms are governed by the laws of the jurisdiction in which Solidap operates.
PRIVACY POLICY

Solidap is designed with a minimal-data architecture and prioritizes privacy.
1. INFORMATION WE ACCESS
Solidap may access:
• Calendar availability data (read-only)
• Customer phone numbers used for SMS alerts
• Customer first names if provided during opt-in
• Messaging timestamps and delivery status
Solidap does not access:
• Medical records
• Diagnoses
• Treatment details
• Insurance information
• Financial data
• Protected Health Information (PHI)
2. DATA STORAGE
Solidap stores only operational data required to run the system:
• Phone number
• Opt-in status
• Opt-in timestamp
• Message delivery status
• Offer response status
Solidap does not store medical records or appointment notes.
3. DATA SHARING
Solidap does not sell or rent personal data.
Customer information is used only to deliver appointment notifications.
4. THIRD-PARTY SERVICE PROVIDERS
Solidap may use trusted service providers including:
• Twilio – SMS delivery
• Stripe – payment processing
• Google / Microsoft – calendar integrations
• Cloud infrastructure providers
These providers process only the information necessary to operate the platform.
5. DATA RETENTION
Operational messaging data is retained only as long as necessary to operate the service and comply with legal requirements.
6. SECURITY
Solidap uses reasonable technical safeguards to protect user data.
Calendar connections are read-only and cannot modify calendar events.
7. DATA DELETION REQUESTS
Clients may request deletion of stored data associated with their account by contacting support.
Certain records may be retained where required for legal or billing purposes.
8. COOKIES AND ANALYTICS
The Solidap website may use cookies or analytics tools to improve site functionality.
These tools do not collect sensitive personal information.
9. CLIENT RESPONSIBILITY
Clients are responsible for obtaining proper consent before sending SMS messages and ensuring compliance with applicable communication laws.
10. HIPAA DISCLAIMER
Solidap is not a medical software system.
Solidap:
• Does not access patient charts
• Does not process medical data
• Does not store diagnoses or treatment information
Solidap therefore does not qualify as a covered entity or business associate under HIPAA.

Customers who join the early appointment waitlist agree to receive SMS notifications.
Program details:
• Customers opt in by texting EARLY
• Message frequency varies
• Message and data rates may apply
• Customers may reply STOP to opt out
• Customers may reply HELP for assistance
Mobile carriers are not responsible for delayed or undelivered messages.
